TERMS AND CONDITIONS

KlikNGo Café ("KlikNGo") operates a membership-based loyalty program ("Membership"). Membership of KlikNGo is governed by these terms and conditions ("Terms and Conditions"), which are binding on all members ("Members"). By completing and submitting an application form or online registration, Members agree to these Terms and Conditions and any amendments that may be made from time to time.

Membership

- The minimum age requirement for a Member is 18 years.
- All membership applications are subject to KlikNGo's approval, which may be granted or denied at its sole discretion without providing reasons.
- Membership categories include (i) Standard Members and (ii) Premium Members.
- If an application for Premium Membership is not accepted, the applicant will be enrolled as a Standard Member.
- Membership is for individuals only; corporate or company memberships are not accepted. - - Up to two shareholders or directors from a company owning or leasing an eligible property may apply for Premium Membership.
- Membership renewal is at KlikNGo’s discretion, and members may be asked to provide proof of eligibility upon renewal.
- KlikNGo reserves the right to retain copies of supporting documents for audit purposes.
- Members have no voting rights or claims over KlikNGo’s assets.
- Membership is non-transferable.

Membership Card

- Each Member will receive a Membership Card (physical or electronic) upon acceptance of their application.
- The Card remains KlikNGo's property and can be revoked or membership terminated at
- KlikNGo’s discretion without justification. Members must return physical Cards upon request.
- The Card is non-transferable and may only be used by the issued Member. Lost or stolen Cards should be reported immediately. A replacement Card may be issued for an administration fee of $80, and will be mailed within 4-6 weeks after payment.
- The Card must be presented for transactions, offer redemptions, and participation in KlikNGo activities.
- Misuse of the Card may result in termination or suspension of membership and withdrawal of benefits.

Facilities and Services

- Members will have access to KlikNGo facilities and services, subject to specific terms and conditions, and invitations are at KlikNGo's discretion.
- KlikNGo may offer different terms for different membership tiers and reserves the right to alter or suspend facilities and services.
- Redemption procedures may vary by merchant. Members may need to present personal identification to verify their identity.
- KlikNGo is not responsible for refusal to honor the Card or for third-party goods and services.
- Membership must not be used for commercial, immoral, illegal, or other non-designated purposes.

KlikNGo's Responsibilities

KlikNGo shall not be liable for any loss, damage, or expense arising from the use of Membership facilities or services to the fullest extent permitted by law.

Disbursement of Costs by Members

KlikNGo may impose charges for the provision of information or documents requested by Members.

Alteration of Terms and Conditions
KlikNGo may amend these Terms and Conditions at any time and will notify Members via appropriate channels. Continued use of Membership constitutes acceptance of any amendments.

Resignation

Members wishing to resign must provide at least seven (7) working days' written notice and return any physical Card to KlikNGo.

Revocation of Membership

KlikNGo may revoke Membership if a Member’s behavior is deemed harmful to KlikNGo or if they breach these Terms and Conditions. The decision is final and Members will forfeit all Membership benefits.

Termination of Operation of the Membership Program

KlikNGo may terminate the Membership program at its discretion, and Members will have no claims against KlikNGo or its affiliates following termination.

Right to Interpret

KlikNGo has the sole right to interpret these Terms and Conditions. In case of disputes, KlikNGo’s decision is final.

Personal Data

The collection and use of personal data is governed by the Customer Data (Privacy) Policy, available at [KlikNGo Privacy Policy URL]. Please review the policy before providing personal information.

Applicable Laws

These Terms and Conditions are governed by the laws of Hong Kong, and any disputes will be subject to the non-exclusive jurisdiction of Hong Kong courts.

Governing Version

In case of inconsistencies between the English and Chinese versions of these Terms and Conditions, the English version will prevail.

Redemption Platform Terms of Use

Product: KlikNGo Merchant Platform (the “Platform”)
Provider: KlikNGo (the “Provider”)
Merchant: The organisation using the Platform to perform operations and transactions on the Platform (the “Merchant”). For clarity, “Platform Services” means the features and operations the Provider makes available from time to time.
Relationship to other contracts: These Terms supplement any existing Merchant/Service Agreement between Provider and Merchant (the “Merchant Agreement”). If there is a conflict, the Merchant Agreement prevails unless these Terms expressly state otherwise.

1. Scope & Access

1.1 Provider grants Merchant a non-exclusive, non-transferable right for its authorised users to access the Platform to to carry out the Platform Services and complete permitted transactions.
1.2 Merchant is solely responsible for user authorisation, access controls, and all actions taken under its accounts. Misuse by Merchant users is deemed the Merchant’s act.

2. Merchant Responsibilities (Offers, Compliance, Taxes)

2.1 Merchant is solely responsible for: (a) the accuracy, legality, and availability of each offer, programme, or transaction; (b) fulfilment of goods/services; (c) customer communications and after-sales obligations; and (d) pricing, invoicing, and taxes applicable to use of the Platform Services.
2.2 Merchant warrants its use of the Platform and related operations comply with all applicable laws (consumer protection, e-commerce, promotions/lotteries, health/safety, advertising, and sector rules).
2.3 Merchant must not create offers or programmes that are unlawful, misleading, or impossible to fulfil (including bait offers, restricted goods/services, or prohibited claims).

3. Fraud Control, Monitoring & Suspension

3.1 To protect the Platform and customers, Provider may log, monitor, rate-limit, flag, suspend, or block Platform activity and transactions (e.g., suspected fraud, abuse, security risk, abnormal patterns).
3.2 Provider may request records or proof (e.g., POS references, store/location, staff ID) to investigate suspicious activity; Merchant will co-operate.
3.3 Provider may disable accounts or specific Platform features/items and withhold or reverse platform actions where fraud/abuse is suspected or confirmed.

4. Data Protection & Security (Roles)

4.1 The Platform processes limited data necessary to operate the Platform Services (including transaction/event data, system and account logs, and minimal identifiers where necessary).
4.3 Roles. For Merchant-controlled processing carried out via the Platform, Provider acts as processor/service provider on behalf of Merchant to the extent applicable; for platform security, logging, fraud detection, and service analytics, Provider may act as an independent controller.
4.4 Merchant must implement reasonable security (device hygiene, network security, credential confidentiality, timely user off-boarding). Security incidents involving the Platform must be reported to Provider without undue delay via the designated support channel.

5. Availability & Changes

5.1 The Platform is provided on a commercially reasonable efforts basis; Provider does not warrant uninterrupted or error-free service. Scheduled or emergency maintenance and third-party outages may occur.
5.2 Provider may modify, suspend, or discontinue features that pose security, legal, or operational risk, and may update these Terms. Material changes will be notified in-app or by email. Continued use constitutes acceptance.

6. Intellectual Property & Restrictions

6.1 The Platform and all related IP are and remain the property of Provider or its licensors. No rights are granted except as expressly stated.
6.2 Merchant must not copy, reverse engineer, decompile, or circumvent platform controls; must not misuse APIs; and must not remove proprietary notices.

7. Records & Evidence

7.1 Provider maintains system logs for Platform events and transactions. In any dispute about a Platform transaction or event, platform logs are prima facie evidence of the facts shown, absent manifest error.
7.2 Merchant will keep reasonable records relevant to its use of the Platform Services and provide them upon reasonable request for fraud, security, or accounting reviews.

8. Warranties & Disclaimers

8.1 Merchant represents and warrants that all offer/programme/transaction terms it sets are accurate, lawful, and honourable, and that it will fulfil them.
8.2 Disclaimer of warranties. The platform is provided “as is” and “as available,” without warranties of any kind—express, implied, or statutory—including merchantability, fitness for a particular purpose, non-infringement, or error-free/uninterrupted operation, to the maximum extent permitted by law.

9. Indemnification

Merchant will indemnify, defend, and hold harmless Provider and its affiliates, officers, and employees from any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to:
(a) Merchant’s offers, programmes, transactions, or marketing, or fulfilment;
(b) Merchant’s breach of these Terms or of law;
(c) Consumer, regulatory, or third-party claims relating to Merchant’s goods/services;
(d) Taxes, duties, or fees owed by Merchant; and
(e) Misuse or unauthorised disclosure of personal data by Merchant or its users—
except to the extent caused by Provider’s wilful misconduct.

10. Limitation of Liability

10.1 Limitation of liability. To the maximum extent permitted by law, the provider is not liable for any indirect, incidental, special, exemplary, or consequential damages, loss of profits, revenue, or goodwill, or loss or corruption of data.
10.2 Provider’s aggregate liability for all claims in connection with the Platform is limited to the fees paid by Merchant to Provider for the Platform in the three (3) months preceding the event giving rise to liability (or the minimum amount permitted by the Merchant Agreement), excluding amounts otherwise due to Provider.
10.3 Nothing excludes liability that cannot be excluded by law.

11. Suspension & Termination

11.1 Provider may suspend or terminate access immediately for material breach, fraud/abuse, security risk, insolvency, or legal/regulatory requirement.
11.2 Upon termination, Merchant must cease all access/use; any outstanding obligations (including reimbursements) survive.

12. Confidentiality

Each party will protect the other’s Confidential Information with at least reasonable care and use it only to perform under these Terms and the Merchant Agreement.

13. Force Majeure

Neither party is liable for delay or failure due to events beyond reasonable control (including network/hosting outages, acts of God, governmental actions), provided the affected party uses reasonable efforts to mitigate.

14. Governing Law & Dispute Resolution

Governing law and forum are as stated in the Merchant Agreement. If no Merchant Agreement exists, these Terms are governed by the laws of Hong Kong SAR, and disputes are subject to the exclusive jurisdiction of the courts of Hong Kong.

15. Order of Precedence & Survival

If these Terms conflict with the Merchant Agreement, the Merchant Agreement prevails, except where these Terms expressly allocate platform risk (Sections 3–4, 7–11), which control for Platform use. Sections 2–11 and 15 survive termination.
